END-USER LICENSE AGREEMENT

This Agreement (“Agreement'') is made and entered into simultaneously with the execution of the equipment purchase agreement (“Equipment Agreement”) (“Effective Date”), by and between Shina Systems Ltd. (“Shina”) and Customer (defined in the Equipment Agreement).

GRANT OF LICENSE. Subject to the terms hereof, Shina Systems Ltd. or an affiliate thereof (“Shina”) grants to Customer a limited, personal, nonexclusive, nontransferable, non­sublicensable license to use, in binary executable form only, the specific Shina product (the “Product”) embedded in a dedicated machine on which the Product is installed (“Equipment”) and purchased under the Equipment Agreement, only for Customer internal use, in accordance with the documentation that accompanies the Product.

  1. OWNERSHIP; RESTRICTIONS. The Product is licensed, not sold. As between the parties, all title and intellectual property rights shall remain in Shina, its affiliates, or their respective suppliers and licensors. Customer may not, nor permit anyone else to, directly or indirectly: (a) rent, lease, sell, sublicense, the Product or any components therein; (b) use the Product for any purpose other than the purposes and the scope of this Agreement set forth above; (c) transfer Customer rights under this Agreement or distribute the Product in any manner to any third party; (d) copy, reverse engineer, decompile, disassemble, modify or otherwise attempt to discover the source code or structure, sequence and organization of the Product or any components therein; (e) integrate or combine the Product or any component therein, with any other software or hardware; or (f) export or re-export the Product, or any portion thereof, in violation of any laws or regulations.
  2. TERM AND TERMINATION. The term of this Agreement shall continue through Customer’s use and ownership of the Equipment. Shina may terminate this Agreement immediately if Customer violates any provision of this Agreement or in any related agreement. Any termination shall also terminate the licenses granted hereunder. Upon termination, Customer agrees to cease using the Product. Sections 3 through 9 shall survive termination of this Agreement.
  3. CONFIDENTIALITY. Customer will hold in confidence all information of a confidential or proprietary nature (including to the extent related to the Product) disclosed to Customer by or on behalf of Shina (“Confidential Information”). Confidential Information shall not be considered to be confidential information if it becomes publicly known (without breach by Customer or by any member of Customer organization).
  4. OWNERSHIP. Shina solely owns and shall retain any intellectual property rights in the Product/s, and its underlying technology and in the Confidential Information proprietary to Shina, including without limitation, any customizations, modifications, updates, upgrades, or derivatives made or related thereto.
  5. LIMITED WARRANTY. Shina warrants to Customer that the Product shall substantially conform to its specifications, as it exists at the date of delivery, for a period of 365 days from the date Customer receives delivery of the Product. Shina's entire liability and Customer exclusive remedy shall be, at Shina's option, either: (i) return of the price paid to Shina for the Product resulting in the termination of this Agreement, or (ii) repair or replacement of the Product or media that does not meet this limited warranty. EXCEPT FOR THE LIMITED WARRANTIES SET FORTH IN THIS SECTION 6, THE PRODUCT IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESSED OR IMPLIED. SHINAA DOES NOT WARRANT THAT THE PRODUCT WILL MEET CUSTOMER REQUIREMENTS OR THAT ITS OPERATION WILL BE UNINTERRUPTED OR ERROR FREE. SHINA DISCLAIMS ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COMPLIANCE WITH ANY LAWS OF REGULATIONS (OTHER THAN AS SPECIFICALLY STATED IN THE PRODUCT USER MANUAL).
  6. WARRANTY AND LIABILITY DISCLAIMERS AND RESTRICTIONS. Without derogating from the foregoing, Shina is not, nor shall be, obliged to provide Customer with any support, maintenance and/or other services with respect to the Product. Without limiting any other provisions limiting liability under this Agreement, Shina shall not be liable for any damages and/or expenses and shall not provide the Warranty in Section 6 hereunder in the event that the Product: (i) has been subject to misuse, negligence, accident or improper installation, use or maintenance by anyone other than Shina, or; (ii) has been modified, repaired or altered by anyone other than Shina, without Shina' prior written approval; or (iii) has been combined with, or installed on products, or equipment of Customers or of any other third party, other than as detailed in the Product documentation; or (iv) has been damaged by causes beyond the control of Shina.
  7. LIMITATION OF LIABILITY. Shina and its affiliates, suppliers, licensors, distributors or resellers shall not, under no circumstances and under no legal theory, including, but not limited to, tort, contract, negligence, strict liability, breach of warranty or otherwise, be liable to Customer or to any third party for any, indirect, special, incidental, or consequential or exemplary damages whatsoever (including, without limitation, damages for lost profits, business interruption, loss of business information, damage or destruction of data, loss of goodwill, work stoppage, accuracy of results, computer failure, malfunction, fire, electrical failure or short circuit). The entire liability of Shina (including its affiliates, suppliers, licensors, distributors or resellers) to Customer or to any third party for damages of any kind whatsoever arising out of this Agreement or related in any way thereto shall be limited to the license fees actually received by Shina under the respective purchase order for the particular Product(s) which caused the damages, during the twelve (12) months preceding the event of damage. The foregoing limitations shall apply even if Shina shall have been informed of the possibility of such damages and notwithstanding the failure of essential purpose of any limited remedy.
  8. HIGH RISK ACTIVITIES. Without derogating from the limitation of warranty and limitation above, Customer acknowledges that the Product is not fault tolerant and is not designed, manufactured, or intended for use or resale as on-line control equipment in hazardous or high risk environments and activities requiring fail-safe performance (such as in the operation of nuclear facilities, aircraft navigation or communication systems, air traffic control, direct life support machines, or weapons systems) in which the failure of the Product could lead directly to death, personal injury, or severe physical or environmental damage, and Customer agree not to use or allow the use of the Product or any portion thereof for, or in connection with, any such environment or activity.
  9. MISCELLANEOUS. This Agreement is the entire agreement between the parties. In the event of any contradiction or inconsistency between the provision of this Agreement and those of any other agreement, the provisions of this Agreement shall prevail. If any provision of the Agreement is held to be unenforceable for any reason, such provision shall be reformed only to the extent necessary to make it enforceable. The failure of Shina to act with respect to a breach of this Agreement by Customer or others does not constitute a waiver and shall not limit the rights of Shina with respect to such breach or any subsequent breaches. Shina expressly reserves the right to assign this Agreement and to delegate any of its obligations hereunder. This Agreement is governed by and construed under the laws of the State of Israel.

  1. LICENSE GRANT. Subject to the restrictions below, The MathWorks, Inc. ("MathWorks") hereby grants to you, whether you are an individual or an entity, a license to install and use the MATLAB Compiler Runtime Libraries ("MCR"), solely and expressly for the purpose of running software created with the MATLAB Compiler (the "Application Software"), and for no other purpose. This license is personal, nonexclusive, and nontransferable.
  2. LICENSE RESTRICTIONS. You shall not modify or adapt the MCR for any reason. You shall not disassemble, decompile, or reverse engineer the MCR. You shall not alter or remove any proprietary or other legal notices on or in copies of the MCR. Unless used to run Application Software, you shall not rent, lease, or loan the MCR, time share the MCR, provide service bureau use, or use the MCR for supporting any other party's use of the MCR.   5. EXPORT CONTROL. The MCR may be subject to U.S. and non-U.S. export control laws and other applicable governmental export and import laws and regulations. In exercising your rights under this license, you agree not to violate any such laws and regulations. You also represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

LIMITATION OF LIABILITY. To the extent permitted by law, any liability of MathWorks (whether in relation to breach of contract, negligence or otherwise) shall be limited to ten dollars ($10.00 USD); and MathWorks shall have no liability for any indirect or consequential loss (whether foreseeable or otherwise and including loss of profits, loss of business, loss of opportunity, and loss of use, or unauthorized use or access, of any computer hardware or software). Some states do not allow the exclusion or limitation of incidental or consequential damages, so the above exclusion or limitation may not apply to you.   9. DISCLAIMER OF WARRANTIES. The MCR is delivered "as is" and MathWorks makes and you receive no additional express or implied warranties.   10. GOVERNING LAW; JURISDICTION. This license shall be governed by the laws of the Commonwealth of Massachusetts, United States of America, without regard to its conflicts of law provisions. Neither the U.N. Convention on Contracts for the International Sale of Goods nor the Uniform Computer Information Transactions Act, or any version thereof ("UCITA"), shall apply to this license.
